Artist Agreement

This Agreement applies to every account that uploads music ("Artist"). It supplements the Terms of Service.

1. Ownership remains with the Artist

You retain all copyright, master rights, and publishing rights in your uploaded works. MoryAudio does not acquire any ownership interest. The license you grant under Section 4 of the Terms is strictly operational — it lets us host, transcode, and stream the work on your behalf.

2. Self-issued — no editorial gating

Your work is published as you submit it, subject to passing automated copyright + AI detection. MoryAudio does not edit, screen, or pre-approve any aesthetic choice. We do not select hits or "promising artists". Discovery comes from listeners using the search and sort surfaces.

3. Royalty splits are your responsibility

Splits among collaborators are configured by you at upload time. MoryAudio does not mediate disputes. If your producer disagrees with the percentages, that's between you. Splits become immutable on-chain after the track is sealed.

4. Licensing & rights

You represent and warrant:

  • You own or have licensed the master and the underlying composition.
  • Any samples are cleared with sample owners and synchronisation licenses where required.
  • You are registered or registrable with a Performance Rights Organisation (KOMCA, ASCAP, BMI, JASRAC, etc.) appropriate to your jurisdiction.
  • Performers' release forms exist for any session musicians, featured vocalists, or producers credited.
  • If the work uses AI tools, you have the right to commercialise the resulting recording in your jurisdiction.

Should a third party claim infringement, MoryAudio will freeze the content (DMCA Safe Harbor) and notify you. Defending the claim is your responsibility.

5. Tax & compliance

Royalties received in MoryToken (MORY) — and any fiat-conversion proceeds — are taxable income. MoryAudio does not withhold tax, issue 1099s, K-1s, or Korean withholding-tax receipts. You are solely responsible for tax compliance.

6. KYC for thresholds

If royalty + tip + ticket + fan-club income exceeds US$1,000/month cumulatively across the platform, KYC may be required to comply with AML regulations. Failure to KYC at the threshold pauses payouts (the contract still credits, but withdrawals are gated).

7. Account termination

You may close your artist account at any time. We may terminate for material breach (three sustained AUP violations). On-chain royalty events that pre-date termination are immutable; future royalties are paused.

8. Distribution to external DSPs (Phase B+)

MoryAudio may, optionally, mediate a FUGA-style distribution to Spotify, Apple Music, YouTube Music, and similar DSPs. This is opt-in per release. DSP acceptance and reporting are independent of MoryAudio.

9. Music Video — YouTube link or hosted clip

If you link a YouTube video on your track page, MoryAudio embeds it via the standard YouTube iframe player and takes nothing from the resulting YouTube ad revenue — that stays 100% on your channel. We do not mirror, re-upload, or claim Content ID on any YouTube content. If you instead choose to host the video on MoryAudio (Phase B), the same royalty splits configured for the audio also apply to the hosted video plays.

10. Marketing your release

You are responsible for marketing your own work. MoryAudio surfaces a "trending" sort and exposes the catalogue to listeners — but does not feature, advertise, or endorse specific artists.

11. Changes

Material changes to this Agreement are announced 30 days in advance. Continued use is acceptance.
