Terms of Service
These Terms govern your access to MoryAudio (the "Service"), operated by Morylen. By using MoryAudio you agree to these Terms. If you do not agree, do not use the Service.
Read this first — five principles
- Non-custodial — we never hold your MORY balance or private keys.
- Zero-fee — there is no platform fee on any user-to-user transfer.
- No transmission — when you send MORY, your own wallet broadcasts the transaction; we display the recipient address but never initiate, route, or settle the transfer.
- No solicitation — MORY is a utility token, not an investment, security, or financial product.
- No intermediary — disputes between users (artist / pledger / listener) are resolved between those users; the platform does not arbitrate.

1. Eligibility
You must be at least 18 years old to use MoryAudio and to have full legal capacity in your jurisdiction. We do not knowingly process data from anyone under 18. KYC verification is required before posting a public Pledge, submitting a Proposal, or recording a donation transaction.
2. The platform's role — minimal intervention
MoryAudio provides:
- Storage + delivery infrastructure (R2 / IPFS / HLS).
- Listener discovery surfaces (search, sort, browse — by mechanical signal only, never editorial).
- On-chain payment rails (HierarchicalRoyaltySplitter + MoryToken).
- Tooling: account, wallet linking, fan-club, ticketing.
MoryAudio explicitly does not:
- Curate, recommend, rank, or feature any specific artist or work.
- Pre-screen, edit, or moderate uploaded content beyond automated abuse + copyright detection.
- Custody, hold, or guarantee any royalty payments. Smart contracts execute autonomously.
- Verify artist rights, sample clearance, or PRO licensing on the artist's behalf.
- Provide tax, legal, or financial advice.
3. Account & security
You are solely responsible for your sign-in credentials and linked wallet. MoryAudio is not liable for losses caused by unauthorised access to your account or wallet.
4. Your content (User-Generated Content)
When you upload audio, artwork, lyrics, or other content ("Your Content") to MoryAudio, you retain all ownership and copyright. You grant MoryAudio a non-exclusive, royalty-free, worldwide license to store, transmit, reproduce, and publicly display Your Content solely as necessary to operate the Service. This license terminates when you remove the content (subject to backups + on-chain immutability for already-issued royalty events).
You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to upload Your Content.
- Your Content does not infringe any third party's copyright, trademark, publicity, privacy, or other rights.
- You have cleared any samples and obtained PRO / mechanical licenses required in any jurisdiction where the Content is available.
- You will accurately label AI-generated content per Section 6.
- You are solely liable for any taxes, royalty splits, and disbursements between collaborators.
5. Prohibited content
You agree not to upload, stream, or distribute:
- Content you do not own or have a license for.
- Hate speech, harassment, sexual content involving minors, or unlawful material.
- Malware, deceptive metadata, or fraudulently labelled AI content.
- Content that violates the laws of your jurisdiction or any jurisdiction where the Content is reasonably accessible.
MoryAudio runs automated fingerprint matching (ACRCloud, Pex, AudibleMagic) and AI-detection pipelines on all uploads. These tools may automatically block or freeze content. Automated tooling is not editorial review; MoryAudio does not exercise human judgment over content quality, taste, or value.
6. AI-generated content disclosure
Per our P6 disclosure rule, AI-generated music must be self-labelled at upload time. Listeners always see the AI tag. We do not block AI content — we require it to be transparent.
7. Voluntary tips — peer-to-peer only
When a listener chooses to tip you, they send MORY directly from their own wallet to your wallet. The suggested split you publish is shown to the listener as guidance — it is not enforced and not held in escrow.
MoryAudio does not custody, transmit, process, escrow, route, set, or guarantee any tip. The platform charges no fee on user-to-user transfers and never holds any user balance. A listener may decide not to tip at all, and that is part of the system.
8. DMCA & takedown
MoryAudio is a "service provider" within the meaning of 17 U.S.C. § 512 and qualifies for the DMCA Safe Harbor. Rights holders can submit verified takedown notices via /legal/dmca. Verified notices freeze the affected track within 24 hours via the FREEZER_ROLE on the TrackRegistry contract. See also /legal/safe-harbor.
9. No guarantees
The Service is provided "as is" and "as available" with no warranties of any kind, express or implied. MoryAudio does not guarantee:
- Uninterrupted operation or specific uptime.
- Any specific royalty amount, listener count, or visibility for your content.
- That MoryToken (MORY) will hold any specific value.
- That third-party DSPs, PROs, or wallets will operate as expected.
- That the platform will continue indefinitely.
10. Limitation of liability
To the maximum extent permitted by law, MoryAudio's aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the platform fees you paid in the 12 months preceding the claim, or (b) US$100. MoryAudio is not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost data, or reputation harm.
11. Termination
You may close your account at any time. We may suspend accounts that violate these Terms. On-chain records (royalty events, NFT mints, votes) cannot be deleted but remain pseudonymous.
12. Governing law
These Terms are governed by the laws of the Republic of Korea. Disputes shall first attempt mediation via the Korean Commercial Arbitration Board; if unresolved, exclusive jurisdiction lies with the Seoul Central District Court.
13. Changes
We may update these Terms. Material changes will be announced 30 days before they take effect. Continued use after that date constitutes acceptance.
14. MoryToken (MORY) — utility classification
14.1 MORY is a utility token granting participation rights within MoryAudio (governance voting, fan tier display, exclusive access, voluntary peer-to-peer tipping). It is not an investment contract, security, or financial instrument.
14.2 Morylen does not engage in direct issuance for purchase. All distribution of MORY happens via earned activity rewards or scheduled airdrops to holders of designated external projects. We do not promise token appreciation, dividends, or buybacks.
14.3 Morylen will not apply for, support, or coordinate any centralised or decentralised exchange listing of MORY. Any third-party listing beyond our control does not represent endorsement; we will not engage in market-making or price-supportive activity.
14.4 Holding MORY does not entitle the holder to any share of Morylen revenue, profits, or assets. The token's value derives solely from its utility within MoryAudio.
14.5 Eligibility for airdrops is based on cryptographically verifiable historical state (block snapshots) of designated external projects. Allocations are computed via published rules and verifiable Merkle proofs.
